We’re looking for a Lead Commercial Counsel to join our Commercial Legal team, working closely with cross-functional stakeholders with a primary focus on supporting our global sales organization. In this role, you will report directly to the Global Head of Commercial Legal.

This role is based in our San Francisco office with an office-centric hybrid schedule. The standard in-office days are Monday, Tuesday, and Thursday. Most Asanas have the option to work from home on Wednesdays. Working from home on Fridays depends on the type of work you do and the teams with which you partner. What you’ll achieve

  • Strategically partner with sales teams and cross-functional stakeholders—including Finance, Deal Desk, Privacy, and Security—to support high velocity deal cycles.

  • Draft, negotiate, and advise on complex outbound commercial agreements and strategic partnership agreements including SaaS Agreements and related agreements such as DPAs, BAAs, Product-Specific Terms and AI terms.

  • Act as a trusted legal advisor to sales teams and deliver timely and practical guidance in accordance with Asana’s policies and business objectives.

  • Enable and train the sales teams on common commercial issues and best practices in support of closing transactions efficiently.

  • Collaborate closely with cross-functional teams to provide commercial legal support for new and updated selling models, product introductions, and feature launches.

  • Assist with creating, refining, and maintaining customer-facing legal terms, ensuring they serve as clear, transparent, and best-in-class resources for our global users.

  • Be a thought leader and apply innovative thinking to the development and scaling of commercial legal team best practices and resources—including internal knowledge-sharing materials, scalable frameworks, legal playbooks, and standards that drive deal velocity and quality.

  • Stay current on emerging global laws, regulatory shifts, and judicial decisions relevant to our business (including competition and data protection laws), conducting thorough research to proactively adapt internal legal guidelines.

  • Support and manage a variety of high-impact ad hoc legal projects with the wider team as they arise.

About you

  • Demonstrates curiosity about AI tools and emerging technologies, with a willingness to learn and leverage them to enhance productivity, collaboration, or decision-making.

  • Holds a J.D. degree from an accredited institution and active membership in good standing with a U.S. state bar association.

  • Brings 8+ years of experience practicing law, including significant in-house experience at a technology company supporting a sales organization on complex, high-velocity outbound SaaS and revenue transactions.

  • Experience in one or more of these areas is strongly preferred: creating and maintaining enterprise customer-facing SaaS terms, supporting new sales programs and new product introductions (NPIs), or advising on AI-related legal issues.

  • Proven track record collaborating cross-functionally with Sales, Finance, Revenue Accounting, Deal Desk, Privacy, Security, and Legal Operations to move deals toward closing.

  • Possesses excellent legal and business judgment, integrity, and emotional intelligence; able to quickly assess risks, provide practical guidance, and translate dense legal nuances into clear and actionable recommendations for non-legal business stakeholders both in person and in writing.

  • Acts as a proactive, solutions-oriented professional who can work independently while thriving in ambiguity and maintaining focus on closing deals that protect Asana's values and business interests.

We believe that compensation should be reflective of the value you create relative to the market value of your role. To ensure pay is fair and not impacted by biases, we're committed to looking at market value which is why we check ourselves and conduct a yearly pay equity audit.

For this role, the estimated base salary range is between $263,000-$309,000. The actual base salary will vary based on various factors, including market and individual qualifications objectively assessed during the interview process. The listed range above is a guideline, and the base salary range for this role may be modified.
