Welcome to the Asana Certification Program (“Certification Program”). Your participation in the Certification Program is subject to these Asana Certification Program Terms (“Certification Terms”) along with Asana’s User Terms of Service, Subscriber Terms, and Privacy Policy, which constitute a legal agreement between the individual who accepts these terms (“You” or “Your”) and Asana, Inc. (“Asana”). You represent that You agree to these terms and that You are 18 years of age or older. If there is a conflict between the Certification Terms and the User Terms of Service or Subscriber Terms, the Certification Terms will control with respect to all matters related to Your participation in the Certification Program. Any capitalized term not defined in these Certification Terms shall have the meaning given in the User Terms of Service, Subscriber Terms, or Privacy Policy.

1. Eligibility. Participants in the Asana Certification Program must:

• (a) Be 18 years of age or older

• (b) Have an existing Asana account or be on an Asana trial. Payment for the Certification Program does not entitle you access to the Asana Services or to continue an Asana trial beyond the expiration of the trial. Participation in the Certification Program does not provide you access to any particular Asana plan. Some coursework may involve features not included in your Asana plan.

2. Fees and Payment. To participate in the Certification Program, Asana may require You to pay the applicable fees for the courses in the amounts set forth in Asana’s Certification Program web page (“Fees”). Fees are non-cancelable and non-refundable.  

3. Taxes. Any Fees charged to You are exclusive of taxes. Except for those taxes based on Asana’s net income, You will be responsible for all applicable taxes in connection with these Certification Terms including, but not limited to, sales, use, excise, value-added, goods and services, consumption, and other similar taxes or duties. If any withholding is required by law, You will pay Asana any additional amounts necessary to ensure that the net amount that Asana receives, after any such withholding, equals the amount Asana would have received if no withholding had been applied. Upon request, You will provide documentation showing that the withheld amounts have been paid to the relevant taxing authority. Asana’s failure to charge appropriate tax due to incomplete or incorrect information provided by You will not relieve You of Your obligations under this Section. If You are exempt from certain taxes, You will provide proof of such exemption to Asana without undue delay.

4. Time for Completion. Once You begin a Certification Program course, You will have three (3) months to complete the course. If You do not complete the course within three (3) months, You will lose access to the course and will need to reset the course and make a new payment should you choose to return to it. Asana reserves the right to amend the deadline to complete courses and will provide notice of deadlines in the course.

5. Proof of Completion. Asana may require You to make a recording of your work in the Certification Program and provide it to Asana employees or agents for review to confirm, in their sole discretion, completion of the Certification Program coursework. PLEASE DO NOT INCLUDE CONFIDENTIAL OR SENSITIVE INFORMATION IN THE CONTENT YOU CREATE AS PART OF YOUR CERTIFICATION PROGRAM COURSEWORK. Asana does not accept appeals of scores on coursework. 

6. Credentials. When you complete a Certification Program course, you will receive access to a digital badge or other credentials (“Credentials”) you may republish in certain of your social media and online accounts. Certain Credentials will remain valid for a period of one (1) year from the date you have been granted access to them, after which they will expire. Asana will provide notice of which Credentials expire and the term of duration. To maintain your certification status and continue to republish expiring or expired Credentials, you will need to complete the relevant Certification Program course again. You may not alter or otherwise modify the badge in any manner. Asana may revoke your Credentials for failure to comply with these Certification Terms.

7. Feedback. The Certification Program, Service and the Websites may have certain features that allow you to submit comments, information, and other materials (collectively, “Feedback”) to Asana, and/or share such Feedback with other users, or the public. If you submit Feedback, Asana may use such Feedback for any purpose without any compensation or obligation to you. We reserve the right to remove any Feedback posted in our public forums for any reason at our sole discretion.

8. Right to Modify Certification Program. Asana reserves the right to modify Certification Program content and courses in its discretion at any time, even if you have started to participate in a Certification Program course. Asana may correct, change, withdraw or do anything else with a course description even if you have already taken action based on it.

10. Proprietary Rights. Asana and its licensors exclusively own all right, title, and interest in and to all intellectual property rights in the Certification Program, Service, and Websites.You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in the Certification Program, Service, and Websites.  All present and future rights in and to trade secrets, patents, copyrights, trademarks, service marks, know-how, and other proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including without limitation rights in and to all applications and registrations relating to the Certification Program, Service, and Websites shall, as between you and Asana, at all times be and remain the sole and exclusive property of Asana.

11. WARRANTIES, DISCLAIMER, AND LIMITATION OF LIABILITY. THE CERTIFICATION PROGRAM, SERVICE AND WEBSITES AND USER CONTENT, WHETHER PROVIDED BY ASANA, ITS LICENSORS, ITS VENDORS OR ITS USERS, AND OTHER INFORMATION ON OR ACCESSIBLE FROM THE SERVICE AND WEBSITES ARE PROVIDED “AS IS” WITHOUT WARRANTY, REPRESENTATION, CONDITION, OR GUARANTEE OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES, REPRESENTATIONS, CONDITIONS OR GUARANTEES OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ALL OF WHICH ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.  SPECIFICALLY, BUT WITHOUT LIMITATION, ASANA DOES NOT WARRANT THAT: (i) THE INFORMATION AVAILABLE ON THE SERVICE AND WEBSITES IS FREE OF ERRORS; (ii) THE FUNCTIONS OR FEATURES (INCLUDING BUT NOT LIMITED TO MECHANISMS FOR THE DOWNLOADING AND UPLOADING OF USER CONTENT) WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS; (iii) DEFECTS WILL BE CORRECTED, OR (iv) THE SERVICE AND WEBSITES OR THE SERVER(S) THAT MAKE THE SERVICE AND WEBSITES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.  ASANA DOES NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE AND WEBSITES OR ANY WEBSITE FEATURED OR LINKED TO THROUGH THE SERVICE AND WEBSITES, AND ASANA WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICE AND WEBSITES.  ASANA WILL NOT BE LIABLE FOR THE OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTY.  YOU VOLUNTARILY ASSUME THE RISK OF HARM OR DAMAGE FROM THE FOREGOING.  THE FOREGOING LIMITATIONS WILL APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND TO THE FULLEST EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL ASANA OR ITS AFFILIATES, LICENSORS, VENDORS, OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR OTHER REPRESENTATIVES BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, OR COSTS OF OBTAINING SUBSTITUTE GOODS OR SERVICES), ARISING OUT OF OR IN CONNECTION WITH THE SERVICE AND WEBSITES, ANY MATERIALS, INFORMATION, OR RECOMMENDATIONS APPEARING ON THE SERVICE AND WEBSITES, OR ANY LINK PROVIDED ON THE SERVICE AND WEBSITES, WHETHER OR NOT ASANA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND WHETHER BASED UPON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, VIOLATION OF STATUTE, OR OTHERWISE.  THIS EXCLUSION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.  IN ANY EVENT, OUR AGGREGATE LIABILITY WILL NOT EXCEED $100.

Some countries and U.S.  jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages such as above in this section.  Accordingly, some of the above limitations may not apply to you.

11. Termination. You have no continuing right to use or participate in any Certification Program and we may deny or suspend access, or terminate the Certification Program for any reason without notice to You. 

12. Liability. Except matters for which liability cannot be excluded under applicable law, Asana shall not be liable for any indirect, special, incidental, or consequential costs, damages, or losses arising directly or indirectly from any Program meeting.

13. Governing Law; Venue. Both parties agree to (i) the application of the laws of the State of California, United States, without regard to conflict of law principles and (ii) the exclusive jurisdiction and venue in the state or Federal courts located in San Francisco, California. The United Nations Convention on Contracts for the International Sale of Goods does not apply to transactions under the Agreement.

14. Miscellaneous. Please refer to Asana’s User Terms of Service and Subscriber Terms for additional terms that apply to the Certification Program not specifically addressed in these Certification Terms.
